The Kaplan Group, Inc. (“TKG”) will use its best efforts to collect for Client commercial claims of past due amounts owed but makes no guaranty that any amount will be collected. The Standard Contingency Fee Rate is based on the size of the claim or the Client approved total settlement amount as follows:

*We accept claims under $10,000 for regular clients only who: 1) have submitted multiple claims over $10,000; 2) we have successfully collected for, and 3) the vast majority of claims are over $10,000. Acceptance of claims under our $10,000 minimum is at TKG’s discretion.

The Standard Contingency Fee Rate is applied only to amounts actually collected or on withdrawn accounts where payment is received within 30 days of withdrawal. If we do not collect any money, then no fee is due to TKG except as described below. One half of the Standard Contingency Fee is charged for merchandise returned. Debtors are directed to send payments directly to TKG’s Client Trust Account. Checks deposited into our Client Trust Account will be considered cleared 15 business days after deposit. TKG remits to clients once per month, by the 5th business day of the month, for checks and payments that cleared the prior month. TKG deducts its fee at the same time remittance is made to Client. If payment is sent directly to Client, TKG deducts its fee from the monthly remittance or will invoice Client for the fee if there are no other collections for Client. TKG invoices are Net 15, and interest at the rate of 1.5% per month is due on late payments. Collection and attorney costs and fees incurred to collect past due balances shall be due from Client.

For claims involving debtors located outside the United States, TKG may refer the claim to a third-party collection agency and/or attorney in the applicable country. In addition to the Standard Contingency Fee the following provisions apply to all international claims: 100% of the applicable Standard Contingency Fee is due in the event of: (1) a merchandise return; (2) the Client subsequently determines that the money claimed is not owed; (3) if the Client communicates directly with the debtor after the claim has been submitted to TKG, regardless of whether such communication results in payment; and (4) any credit notes, credits, or other reductions issued by the Client after the collection process has commenced.

If TKG is unable to obtain payment, a lawsuit may be recommended, and the contingency fee will be higher than the rates described herein to compensate the attorney. If Client authorizes suit, Client is responsible for all court costs (cost of filing, service, etc.) and will also be responsible for any additional legal fees in the event of a counterclaim filed by defendant. No suit is filed without written authorization from Client and pre-payment by Client of advanced court costs and non-contingent suit fee per the written litigation quote.

TKG shall keep Client’s information confidential. TKG may disclose confidential information to Client’s customers, former customers, and their accountants, consultants and attorneys only to the extent such confidential information is directly applicable to that customer. TKG may disclose confidential information to attorneys assisting or potentially assisting TKG and Client with the collection process.

Any payment made by or on behalf of the debtor after TKG’s initial demand letter is emailed shall result in a contingency fee being owed to TKG in accordance with these Terms and Conditions. A claim placed with TKG for collection may be withdrawn for any reason beginning ninety (90) days after TKG sends its initial demand letter, unless: (i) the debtor is making payments pursuant to a payment arrangement and is less than ninety (90) days delinquent on that arrangement; or (ii) fewer than ninety (90) days have passed since the debtor’s most recent payment. A claim may be withdrawn before the applicable ninety (90)-day period expires; however, the Client must pay TKG the contingency fee that would have been due had the full amount placed for collection been collected by TKG. The Client must provide TKG with at least ten (10) days’ prior written notice of its intent to withdraw a claim. TKG reserves the right, in its sole discretion, to decline or refuse to accept any claim for collection.

Client agrees that all claims placed are subject to these terms and conditions unless terms are modified in writing and executed by Client and either Dean Kaplan or Wes Kaplan.
